Organiser Agreement

1. What this agreement is
This agreement is between you (the organiser) and TimbaTicket. It governs your use of the TimbaTicket platform to sell tickets for your events. By creating an organiser account and publishing an event, you accept these terms.
2. TimbaTicket supplies software
TimbaTicket provides the software that lets you sell tickets, take payments through Square, manage ticket types, check guests in, and view your sales and attendee data. TimbaTicket is not the organiser, promoter or venue for any event, and it is not the merchant of record for your ticket sales.
3. Your responsibilities as organiser
You are solely responsible for your events, including their legality, the venue, any licences, performers, alcohol, insurance, refunds, accessibility, health and safety, communication with attendees, and compliance with applicable law. You confirm that you are authorised to organise each event you publish and that the information you provide is accurate.
4. Payments and fees
Payments from your attendees are processed by Square and paid directly to your Square account. You remain the seller of your tickets. Platform fees, if any, are set out in your plan and are settled between you and TimbaTicket separately from your attendees' payments.
5. Refunds
Refunds are your decision as the organiser. TimbaTicket provides you with tools to issue refunds to your attendees; it does not hold ticket money and does not decide whether a refund is owed. You should honour any refund commitment you make to your attendees.
6. Data
For attendee data, you are the data controller and TimbaTicket is the data processor, acting on your instructions. You are responsible for complying with data protection law in your use of attendee data. A data processing agreement (DPA) forms part of this agreement and will be provided with the final version.
7. Accounts and roles
You control who can access your account using the Owner, Manager and Team roles. You are responsible for activity carried out through your account and should keep access details secure.
8. Prohibited content
You must not use the platform to sell tickets for unlawful events, counterfeit tickets, or any event that violates these terms. TimbaTicket may suspend or remove an event or an account that breaches this clause.
9. Our liability
The platform is provided as-is. To the fullest extent permitted by law, TimbaTicket's liability to you is limited to the amount of platform fees you have paid in the twelve months before the claim. Nothing in this agreement limits liability that cannot lawfully be limited or excluded.
10. Term and termination
Either party may end this agreement by closing the organiser account. On termination you should make arrangements for any pending refunds. Sections that by their nature survive termination (including liability and data obligations) continue to apply.
11. Governing law
This agreement is governed by the laws of England and Wales.
